COMPLETION OF CONNECTED TRANSACTION

Reference is made to the announcement of the Company dated 28 September 2017 (the "Announcement"), in relation to, among other things, the acquisition of 51% equity interest in Jingtang Co. owned by PetroChina by Kunlun Gas, a wholly-owned subsidiary of the Company pursuant to the terms and conditions of the Acquisition Agreement. Unless otherwise defined, capitalised terms used herein shall have the same meanings as defined in the Announcement.

The Board is pleased to announce that Kunlun Gas has recently obtained all the necessary approvals of the government authorities in respect of the Acquisition, and the relevant registration with the administration for industry and commerce and the payment of the Consideration have been completed.

Upon the Completion of the Acquisition, Jingtang Co. becomes a non-wholly-owned subsidiary of the Company, and the assets, liabilities and financial results of Jingtang Co. will be consolidated into the consolidated financial statements of the Company.
