Sub: Update on Scheme of Amalgamation

Dear Sir/Madam,

This has reference to our letter dated March 20, 2020, with respect to the scheme of amalgamation by way of merger by absorption ("Scheme" or "Scheme of Amalgamation") involving amalgamation by way of merger by absorption of L&T Housing Finance Limited ("LTHFL") and L&T Infrastructure Finance Company Limited ("LTIFC" and together with LTHFL, the "Transferor Companies") with L&T Finance Limited ("LTFL/ Transferee Company"), all wholly owned subsidiaries of L&T Finance Holdings Limited ("LTFH/ Company"), under Sections 230 to 232 of the Companies Act, 2013 ("Act").

In relation to the aforesaid please note the following updates:

• a. pursuant to the provisions of Sections 230-232 of the Act (including the rules thereunder), National Company Law Tribunal ("NCLT"), Mumbai has sanctioned the aforesaid Scheme of Amalgamation, subject to the sanction by the NCLT Kolkata and by its order dated March 19, 2021, which has been uploaded on the NCLT's website today, the NCLT Kolkata has sanctioned the aforesaid Scheme of Amalgamation;

• b. The certified true copy of the order of the NCLT Kolkata is awaited;

• c. The said Scheme of Amalgamation is currently yet to be made effective and is subject to the conditions and matters referred to in Clause 30 of the Scheme having occurred or fulfilled, obtained or waived, as applicable, in accordance with the terms thereof;

• d. The effective date will be communicated to the Stock Exchanges for further public dissemination as and when Scheme becomes effective.

The equity shares of LTFH are listed on National Stock Exchange of India Limited ("NSE") and BSE Limited ("BSE"). However, the equity shares of LTHFL, LTIFC and LTFL are not listed on any stock exchange. The debentures of LTFL and LTIFC are listed on NSE and BSE while the debentures of LTHFL are listed on NSE.

The Company is neither involved as a transferor company nor as a transferee company in the proposed Scheme. However, as a good corporate governance practice we are making this disclosure under Regulation 30 of the Listing Regulations
