Item 1.01 Entry into a Material Definitive Agreement



On February 8, 2021, we entered into a Sublease Agreement (the "Agreement") with
Repsol Oil & Gas USA, LLC. Under the Agreement, we leased a 25,000 square-foot
office space in The Woodlands, Texas to which we plan to relocate our corporate
offices. The term of the sublease extends from March 1, 2021 through August 31,
2025, and provides for escalating yearly base rent payments starting at $506,000
and increasing to $557,000 in the final year of the lease.
The foregoing description of the Agreement does not purport to be complete and
is qualified in its entirety by reference to the Agreement filed as an exhibit
hereto.
