PROPOSED SUBSCRIPTION OF 125,000,000 NEW ORDINARY SHARES IN THE CAPITAL OF THE COMPANY AT AN ISSUE PRICE OF S$0.004 PER SHARE

• RECEIPT OF LISTING AND QUOTATION NOTICE FROM THE SINGAPORE EXCHANGE SECURITIES TRADING LIMITED

The board of directors (the "Board" or "Directors") of LifeBrandz Ltd. (the "Company", and together with its subsidiaries, the "Group") refers to the Company's announcement dated 27 November 2020 (the "Subscription Announcement"). Unless otherwise defined, all capitalised terms used herein shall bear the same meanings ascribed to them in the Subscription Announcement.

Further to the Subscription Announcement, the Board is pleased to announce that the Company has, on 3 December 2020, received the listing and quotation notice ("LQN") from the Singapore Exchange Securities Trading Limited ("SGX-ST") for the listing and quotation for the 125,000,000 Subscription Shares on Catalist, subject to compliance with the listing requirements of the SGX-ST for the Subscription Shares.

The LQN is not to be taken as an indication of the merits of the Proposed Subscription, the Subscription Shares, the Company, its subsidiaries and their securities.

The Company will make the necessary announcement(s) in relation to the Proposed Subscription as and when required.
