Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Agreements of Certain Officers

On September 5^th, 2021 Daniel J. Hanrahan, an independent member of the Board of Directors, submitted his resignation from the Board of Directors of Lindblad Expeditions Holdings, Inc., a Delaware corporation (the 'Company') due to other business commitments. Mr. Hanrahan's resignation did not result from any disagreement with the Company on any matter relating to operations, policies or practices. The Company plans to fill the vacancy created by Mr. Hanrahan's departure. In the interim period the Company's Board of Director's will be reduced to nine directors.
