Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of
Certain Officers; Compensatory Arrangements of Certain Officers
On November 9, 2021, Lyft, Inc. (the "Company") announced the appointment of
Kristin Sverchek, its General Counsel and Secretary, as its President of
Business Affairs, effective November 1, 2021. Ms. Sverchek's biographical and
compensation information is included in the Company's proxy statement for its
annual meeting of stockholders filed with the Securities and Exchange Commission
on April 28, 2021.
In connection with her appointment, Ms. Sverchek was granted restricted stock
units covering 100,325 shares of the Company's Class A common stock that will
vest quarterly over four years commencing November 20, 2021 and restricted stock
units covering 15,893 shares of the Company's Class A common stock that will
vest over four quarters commencing February 20, 2022, in each case, subject to
the terms of the Company's 2019 Equity Incentive Plan and the applicable
restricted stock unit agreement.
In connection with Ms. Sverchek's appointment, Lindsay Llewellyn, Vice
President, Associate General Counsel, was appointed as the Company's General
Counsel and Secretary, effective November 1, 2021.
