(b) On May 20, 2022, Rebecca B. Givens notified M.D.C. Holdings, Inc. (the "Company") that she was resigning as Senior Vice President and General Counsel of the Company effective as of the close of business on May 20, 2022. Ms. Givens will continue to be employed by the Company on a part-time basis as a consultant.
