Aquisição de participação acionária relevante

M. DIAS BRANCO S.A. INDSTRIA E COMRCIO DE ALIMENTOS ("M. Dias Branco" ou "Companhia"), em cumprimento ao disposto no Artigo 12 da Resolução CVM nº 44/21, comunica aos seus acionistas e ao mercado em geral que, nesta data, recebeu correspondência do Itaú Distribuidora de Títulos e Valores Mobiliários (CNPJ 33.311.713/0001-25) informando que o conjunto de fundos de investimentos por ele gerido e formado pelos atuais controladores diretos e indiretos da Companhia atingiu 65,054% das ações ordinárias emitidas pela Companhia, totalizando 220.534.600 ações, o que configura aquisição de participação acionária relevante.

A íntegra da correspondência segue disposta no Anexo I ao presente comunicado e destaca que esse aumento de participação não altera a composição de controle ou a estrutura administrativa da sociedade.

NOTICE TO THE MARKET Acquisition of relevant shareholding

M. DIAS BRANCO S.A. INDSTRIA E COMRCIO DE ALIMENTOS ("M. Dias Branco" or "Company"), pursuant to article 12 of CVM Resolution No. 44/21, informs its shareholders and the market in general that, on this date, it received correspondence from the Itaú Distribuidora de Títulos e Valores Mobiliários (CNPJ No. 33.311.713/0001-25) informing that the set of investment funds managed by it and formed by the current direct and indirect controllers of the Company reached 65.054% of the common shares issued by the Company, totaling 220,534,600 shares, which constitutes the acquisition of a relevant shareholding.

The entirety of the correspondence is set out in Annex I to this press release and emphasizes that this increase in participation does not change the control structure or the administrative structure of the company.

Itaú Distribuidora de Títulos e Valores Mobiliários, CNPJ 33.311.713/0001-25, hereby informs this Company that, on 4/26/2022, the sum of the shares and other securities and derivative financials referenced in such shares, as applicable, held by the group of investment funds as applicable, held by the group of investment funds managed by it reached 65,054% of the common shares issued by this Company, totaling 220534600 shares, configuring an increase in the participation.

It also declares that the participation is not intended to change the composition of control or the administrative structure of the company.

In order to avoid doubts, we reinforce that, as mentioned above, this communication refers to the positions held by investment funds managed by Itaú Unibanco, in the context of its activity of managing third-party resources (asset management).
