On July 23, 2024, Joe Kiani, the Chief Executive Officer and Chairman of the Board of Masimo Corporation, sent a letter relating to the Company?s 2024 annual meeting of stockholders to certain of the Company?s stockholders. In the letter, Joe Kiani stated that he fears Quentin Koffey would destroy the innovation at the Company and greatly harm both shareholders and patients. Joe Kiani indicated that he is trying very hard to get the facts to shareholders.

Joe Kiani added that he cares deeply about the shareholders, the employees he has worked with for decades, and the patients and healthcare workers that he continues to support. Joe Kiani also stated that he would do everything he can to prevent Quentin Koffey from further damaging the Company and its constituents. Joe Kiani expressed that he would step aside any time the Company shareholders or the Company?s independent Board no longer want him to lead the Company.

Joe Kiani added that shareholders would have this chance at the Company?s AGM. Joe Kiani noted that the Company changed the record date of its AGM once at Quentin Koffey?s demand, and he hopes he does not make a second demand, so the Company can hold its AGM on September 19, 2024. Joe Kiani stated that the Company?s lawsuit in Federal Court, will get to see Quentin Koffey correct his statements and shareholders would get to know him as the activist that the independent directors and endured over the past two years.
