RESULTS OF OPERATIONS


We have incurred recurring losses to date. Our financial statements have been prepared assuming that we will continue as a going concern and, accordingly, do not include adjustments relating to the recoverability and realization of assets and classification of liabilities that might be necessary should we be unable to continue in operation.

We expect we will require additional capital to meet our long term operating requirements. We expect to raise additional capital through, among other things, the sale of equity or debt securities.

Our net loss for the fiscal year ended December 31, 2017 was $6,040, compared to a net loss of $58,732 during the fiscal year ended December 31, 2016. For the period from January 1, 2017 to December 31, 2017, we have not generated any revenues.

During the fiscal year ended December 31, 2017, we incurred expenses of $6,040 compared to $58,732 incurred during the fiscal year ended December 31, 2016. This was due to a decrease in operations during the most recent period, that resulted in reduced general and administrative fees and reduced professional fees.

LIQUIDITY AND CAPITAL RESOURCES

As of December 31, 2017 our current assets were $0 compared to $0 in current assets at December 31, 2016. As of December 31, 2017, our current liabilities were $49,305 compared to $43,265 in current liabilities at December 31, 2016.

Stockholders' equity decreased to a deficit of $49,305 as of December 31, 2017 from a deficit of $43,265 as of December 31, 2016.

The weighted average number of shares outstanding was 7,375,000 for both years ended December 31, 2017 and December 31, 2016.

Cash Flows from Operating Activities

We have not generated positive cash flows from operating activities. For the year ended December 31, 2017, net cash flows used in operating activities was $0. Net cash flows used in operating activities was $57,312 for the year ended December 31, 2016.

Cash Flows from Investing Activities

We neither generated, nor used, funds in investing activities for the period during the year ended December 31, 2017 or December 31, 2016.

Cash Flows from Financing Activities

We have financed our operations primarily from either advancements or the issuance of equity and debt instruments. For the year ended December 31, 2017, $0 net cash flows was received from financing activities. For the year ended December 31, 2016, $42,777 was received from proceeds of loans from a director in financing activities.

PLAN OF OPERATION AND FUNDING

We estimate that our expenses over the next 12 months will be approximately $8,000 as described in the table below. These estimates may change significantly depending on the nature of our future business activities and our ability to raise capital from shareholders or other sources. Our working capital requirements are expected to increase in line with the growth of our business.

In connection with our business plan, management anticipates additional increases in operating expenses and capital expenditures relating to: (i) developmental expenses associated with a start-up business and (ii) marketing expenses.

We intend to meet our cash requirements for the next 12 months through the use of the cash we have on hand and through equity financing, debt financing, or other sources, which may result in further dilution in the equity ownership of our shares. Further, such securities might have rights, preferences or privileges senior to our common stock.We currently do not have any arrangements in place to complete any private placement financings and there is no assurance that we will be successful in completing any such financings on terms that will be acceptable to us. If adequate funds are not available or are not available on acceptable terms, we may not be able to take advantage of prospective new business endeavors or opportunities, which could significantly and materially restrict our business operations.

As of the date of this Annual Report, we do not have any material commitments.

PURCHASE OF SIGNIFICANT EQUIPMENT

We do not intend to purchase any significant equipment during the next twelve months.

OFF-BALANCE SHEET ARRANGEMENTS

As of the date of this Annual Report, we do not have any off balance sheet arrangements that have or are reasonably likely to have a current or future effect on our financial condition, changes in financial condition, revenues or expenses, results of operations, liquidity, capital expenditures or capital resources that are material to investors.





GOING CONCERN


The financial statements have been prepared on a going concern basis which assumes the Company will be able to realize its assets and discharge its liabilities in the normal course of business for the foreseeable future. The Company has incurred a loss since Inception (October 28, 2014) resulting in an accumulated deficit of $93,879 as of December 31, 2017 and further losses are anticipated in the development of its business. Further, the Company has current liabilities in excess of current assets and has a stockholders' deficit at December 31, 2017. Accordingly, there is substantial doubt about the Company's ability to continue as a going concern.

The ability to continue as a going concern is dependent upon the Company generating profitable operations in the future and/or obtaining the necessary financing to meet its obligations and repay its liabilities arising from normal business operations when they come due. Management intends to finance operating costs over the next twelve months with existing cash on hand and loans from directors and/or private placement of common stock.
