Mediaset España Comunicación S A : España and MFE-Mediaforeurope have decided not propose alternative candidates for ProsiebenSat.1 Supervisory Board

"MEDIASET ESPAÑA COMUNICACION, S.A.", in accordance with the provisions of Article 227 of the revised text of the Securities Market Law, approved by Royal Legislative Decree 4/2015 of 23rd October, announces the following

MEDIASET ESPAÑA with MFE-MEDIAFOREUROPE, as the major shareholders of ProsiebenSat.1, have decided not to propose alternative candidates for the Supervisory Board of ProsiebenSat.1 to be elected at the Shareholders' Meeting on 5

May 2022.

Both companies believe that a potential public controversy on the composition of the Supervisory Board is not in the best interest of ProsiebenSat.1 and its stakeholders.

MFE-MEDIAFOREUROPE and MEDIASET ESAPAÑA would have preferred a transparent process in which the views of material shareholders on potential candidate profiles and diversity are heard ahead of election proposals made by the SupervisoryBoard. MFE-MEDIAFOREUROPE and MEDIASET ESPAÑA regards the upcoming Shareholders' Meeting as a starting point for more propitious and transparent relations with the shareholders of ProsiebenSat.1.

MFE-MEDIAFOREUROPE and MEDIASET ESPAÑA have further decided to support the proposed election of Andreas Wiele as member and future Chairman of the Supervisory Board of ProsiebenSat.1 in the upcoming Shareholders' Meeting. Andreas Wiele's election is considered as a first tangible signal of a change in the company's governance.

Due to a succession process which does not reflect the minimum standards of transparency and corporate governance practice used by all of Europe's leading listed companies, and without questioning such candidates' high skills and standing, MFE-MEDIAFOREUROPE and MEDIASET ESPAÑA have decided to abstain from the decision on the other candidates election which will, therefore, be left with the co-shareholders.

With these decisions, MFE-MEDIAFOREUROPE and MEDIASET ESPAÑA aim to support the new roadmap of ProsiebenSat.1 - a change that we hope will accelerate the creation of value under consideration of the company's identity and editorial independence.
