THE BOARD OF DIRECTORS OF MEDIASET - TOP ROLES CONFIRMED: FEDELE CONFALONIERI, CHAIRMAN AND PIER SILVIO BERLUSCONI DEPUTY CHAIRMAN AND CHIEF EXECUTIVE

The Board of Directors of Mediaset, elected by the Annual General Meeting of 23 June, met today under the chairmanship of Fedele Confalonieri, himself yesterday confirmed by Shareholders for the next three years.

The board duly confirmed Pier Silvio Berlusconi as Deputy Chairman and Chief Executive.

The Board also established the Executive Committee, comprising six members: Fedele Confalonieri, Pier Silvio Berlusconi, Marco Giordani, Gina Nieri, Niccolo' Querci and Stefano Sala.

The Board of Directors also made an assessment of the independence of directors, pursuant to Article 147 ter of the Consolidated Finance Act and the Code of Corporate Governance on the basis of details provided by the interested parties and other information available to the Company.

The Board of Directors determined that the Directors Marina Brogi, Stefania Bariatti, Raffaele Cappiello, Costanza Esclapon de Villeneuve, Giulio Gallazzi, Alessandra Piccinino and Carlo Secchi are in full compliance with the requisites of independence foreseen by Art. 148, para. 3 of the Consolidated Finance Act.

The Board also agreed that the same Directors are in full compliance with the requisites of independence foreseen by the Code of Corporate Governance.

With reference to the latter requirements, it should be noted that of the Board of Directors believes that the high institutional standing that characterises the offices currently held by the Director Carlo Secchi confirm his independence also on the basis of the Code of Corporate Governance.

The Board of Directors subsequently established the following Committees, encouraging a rotation, compared with the previous three-year period, of directors confirmed in positions on the Committees and giving the chairmanship of the Related-Parties Committee to a director indicated by minority interests:

  • the Control, Risks and Sustainability Committee, made up by the Directors: Alessandra Piccinino (Chair), Raffaele Cappiello and Carlo Secchi;
  • the Remuneration Committee, made up by the Directors: Stefania Bariatti (Chair), Marina Brogi and Carlo Secchi;
  • the Governance and Nominations Committee, made up by the Directors: Marina Brogi (Chair), Giulio Gallazzi and Stefania Bariatti;
  • the Related-PartiesCommittee, made up by the Directors: Costanza Esclapon de Villeneuve (Chair), Marina Brogi and Alessandra Piccinino.

The Board also discussed the latest trend of Mediaset advertising collection.

In the first half of 2021, Mediaset italian total advertising revenues rose by approximately +31.5 %, compared with the same period of 2020.

The second quarter performance was above expectations, with an increase of more than 65% compared to the second quarter of 2020.

These data indicate Publitalia '80 TV advertising collection in 1H 2021 was back to pre-Covid levels and in line with the second half of 2019, confirming the underlying strength of Mediaset content.
