5.Cause of occurrence:Merry Corporation's original purpose of investing
Guangdong Luxshare & Merry Electronics Co.,Ltd. since 2018 was to build a
factory in Guangdong, Mainland China, which is close to Taiwan, to
manufacture electroacoustics products for market demand. Due to a rapidly
changing market of electroacoustics, however, the purchase orders from
customers were not as expected. After the evaluation with the joint
investor, it is then proposed to integrate the business resources by
dissolving Guangdong Luxshare & Merry Electronics Co.,Ltd. Merry
Electronics (Huizhou) Co., Ltd. will then take over the production
function. The return of investment proceeds can be used for other business
need and optimize the allocation of business resource.

the dissolve and liquidation of Guangdong Luxshare & Merry Electronics
Co.,Ltd. is fully authorized to the chairman of the Board according to
related regulations.
