5.Cause of occurrence:
(1)It is proposed that Merry Capital Inc.(named temporarily, hereinafter
referred to as Merry Capital) and the other third party co-invest in
CDIB-Mac Limited Partnership (named temporarily, hereinafter referred to
as MAC Development Fund), in compliance with the Company's development
strategy to find joint investment with partners in new business with new
technologies. Merry Capital is proposed to invest in MAC Development Fund
amounting to not exceeding NT$6,000,000, with ownership percentage less
than 1%.
(2)Merry Corporation is proposed to engage in the investment year by year
based on the investment items of MAC Development Fund, with the investment
amount not exceeding NT$0.291 billion and ownership percentage less than
48.5%.
6.Countermeasures:None.
7.Any other matters that need to be specified:If the partnership agreement
and related matters are subject to modification due to law regulation or
local authority requirement, it is proposed that the Board authorize the
CEO to negotiate the modification.
