On December 20, 2021, Metro Inc. filed a management proxy circular soliciting proxies and urged the shareholders to vote against the shareholder proposals: (1) that the Board of Directors evaluate ways to increase employee participation in Board decision-making, (2) that the Corporation publish annually, in a format of its choosing, a report on the representation of women in management from the first level to the last level immediately below the President and Chief Executive Officer, (3) that the language of the Corporation be French, including the language of business in Quebec, as well as the language at annual meetings, (4) that the Company propose an action plan to achieve zero plastic waste by 2030, and (5) that the Company specify in a Code of conduct with its suppliers its requirements regarding the commitments it wishes to see from its suppliers to preserve biodiversity, submitted by Mouvement déducation et de défense des actionnaires (MÉDAC) at the Companys annual shareholders meeting scheduled to be held on January 25, 2022.
