On October 14, 2021, Microsoft Corporation filed a definitive proxy statement soliciting proxies and urged the shareholders to vote against a shareholder proposal, requesting the Board of Directors prepare a report on how implementation of the Company’s commitment to the Fair Chance Business Pledge has advanced progress toward eliminating racial discrimination at the Company. The report should evaluate the risk of racial discrimination that may result from the use of criminal background checks in hiring and employment decisions, submitted by NorthStar Asset Management, Inc. at the Company’s annual shareholders meeting scheduled to be held on November 30, 2021.
