Item 8.01 Other Events.

On January 27, 2023, the Board of Directors of Middlesex Water Company (the "Company") declared a quarterly cash dividend of $0.3125 per share on its common stock, payable on March 1, 2023 to shareholders of record as of February 14, 2023. A copy of the press release announcing the dividend declaration is attached hereto as Exhibit 99.1 and incorporated into this Form 8-K by reference.
