Midsona AB (publ) (OM:MSON B) acquired System Frugt A/S from BWB Partners and the minority shareholders for DKK 210 million on October 7, 2020. The consideration of DKK 210 million is paid in cash on closing on a debt-free/cash-free basis. Midsona will finance the transaction with existing cash resources and credit facilities. For the year ended 2019, System Frugt reported a net sales of DKK 399 million and adjusted EBITDA of approximately DKK 25 million. Strata Advisory AB acted as a financial advisor to Midsona. Fredersen Advokatbyrå AB and Danders & More acted as a legal advisors to Midsona. John Svenson, Martin Christian Kruhl, Sara Schjørring and Michael Vinther of DLA Piper Denmark acted as legal advisor, SCF Advisers acted as financial advisor and Grant Thornton acted as accountant to the sellers.
