MATERIAL FACT

Mills Estruturas e Serviços de Engenharia S.A. ("Company" or "Mills"), a publicly-held

company,B3:MILS3registered as an "A" securities issuer with the Brazilian Securities and Exchange Commission ("CVM"), in compliance with the provisions of Article 157, paragraph 4 of Law

6.404, of December 15, 1976, as well as CVM Instruction 358, of January 3, 2002, as in force, communicates to its shareholders and the market in general that, on this morning, September 23th, 2020, it was held a search and seizure of material at the Company's headquarters, in compliance with the court order issued by the Honorable Judge Sabrina da Cunha Peixoto Ladeira, of police investigations criminal court in the District of Belo Horizonte, due to a process that, until then, it was not known by the Company and which runs in secret of justice.

According to news showed also today, the Minas Gerais Public Prosecution complied several warrants to check possible irregularities on the construction of "Cidade Administrativa de MG", specifically during the years of 2007 and 2010.

The Company informs that provided all the information requested by the Authorities and, even without having knowledge of the case files, remains disposal to provide any additional information that may be necessary for the proper verification of the facts.

Company's Board of Executive Officers and it's Board of Directors reiterate their commitment with ethic, integrity, transparence and collaboration with all and any action whose goal is the practice and maintenance of these values.

The Company follows with its regular operations and it will keep the market informed about relevant unfolding of the subject, if they occur.
