Notice to the Market

Minerva S.A. ("Minerva Foods" or "Company"), the South American leader in beef exports, informs its shareholders and the market in general that the creation of a joint venture ("JV") with Amyris has been concluded, as previously announced, with the aim of developing molecules for the sustainable production and distribution of animal protein around the world.

Forming molecules through fermentation is one of the most advanced and efficient alternatives in the pursuit of a food production model with less impact on the carbon chain, thus contributing to the sustainability of our planet. The joint venture formed with Amyris will engage in the development of new molecules that will contribute to the reduction of carbon emissions arising from the animal protein production chain, such as more sustainable packaging and fermentation-derived natural preservatives, thereby increasing the logistical efficiency of the global beef chain. The parties also expect to work on the development of a protein production matrix through the fermentation process, as a sustainable alternative to animal protein.

In addition to the initial investment of US$5 million (60% of the joint venture's total capital), Minerva Foods will make its distribution channels available, provide access to the market, and develop the JV's entire go-to-market strategy. The first initiative arising from this partnership is expected to be commercialized in 2022.

The Company is committed to keeping shareholders and the market in general informed of the developments of this matter.
