A global firm - Institutional Shareholder Services (ISS) - has recommended voting in favour of the proposed merger of MONETA Money Bank and Air Bank Group, including financing through a capital increase. ISS acts as a 'proxy adviser', analysing and making independent recommendations to investors in relation to voting at general meetings. These recommendations are mainly used by reputable institutional investors.

ISS has made a positive recommendation that Moneta shareholders vote in favour of the proposed acquisition of Air Bank Group. In addition, ISS also recommends that shareholders vote in favour of the capital increase of Moneta, including the related amendment to the Articles of Association. "ISS has undoubtedly considered the change in the terms of our proposed acquisition and the method of its financing. The recommendation to vote in favour of the management's proposals is in line with our expectations as the proposed terms certainly contain positive changes. If our proposal for this acquisition receives support of two-thirds or more of the shareholder vote, then the vision of the medium and long- term strategy will prevail over the short-term view. I personally hope that we will succeed in pushing through the acquisition proposal and its financing and that this will open the way for us to realise our ambitions in the next five years," said Tomáš Spurný, Chairman of the Management Board of MONETA Money bank.

MONETA first proposed the acquisition in the autumn of 2018. Subsequently, this proposal and the related offer were rejected by PPF Group in February 2019. In January 2021, PPF made a voluntary public offer through which it acquired a 29.94% ownership stake in MONETA. Subsequently, a general meeting was held in June this year, which was attended by more than 73.21% of shareholders. At this general meeting, 61.9% of shareholders voted in favour of the acquisition of Moneta, and 61.7% of shareholders voted in favour of the capital increase: however, at least 75% of the votes were required for approval.

Shareholders will decide on the current proposal at the upcoming general meeting, which is scheduled for 20 December this year. The equity increase requires the support of at least two-thirds of the shareholders present.
