MATERIAL FACT
MOVIDA PARTICIPAÇÕES S.A. ("Movida" or "Company"), a publicly held company, in compliance with Instruction 358/2002 of the Brazilian Securities and Exchange Commission and article 157, paragraph 4, of Law 6,404/1976 ("Brazilian Corporation Law"), hereby informs its shareholders and the market in general that, pursuant to the Material Fact released on January 17, 2021 and the Notice to the Market released on January 18, 2021, the Company concluded, on this current date, the acquisition of 100% of the shares issued by Vox Frotas Locadora S.A. ("Vox"), upon compliance with the obligations and conditions set forth in the share purchase and sale agreement. Vox currently has a fleet of approximately 1,800 vehicles. After the adjustments made according to the agreement, Vox's enterprise value was set at R$89 million (eighty-nine million reais).
The Company also informs that it hired a specialized firm to carry out an appraisal report on Vox, which concluded that the acquisition does not fulfill any of the parameters provided for in article 256 of the Brazilian Corporation Law. Therefore, the transaction does not need to be ratified by the general shareholders' meeting and there is no withdrawal rights for the Company's shareholders.
