Clayton, Dubilier & Rice, LLC entered into a definitive agreement to acquire Multi-Color Corporation from WS Packaging Group, Inc. on July 2, 2021. In a related transaction, CD&R also announced it has signed a definitive agreement to acquire Fort Dearborn from Advent International. Post completion, Clayton, Dubilier & Rice, LLC will merge Fort Dearborn Company and Multi-Color Corporation to form a combined company. David Scheible will serve as the chairman of the combined company. CD&R obtained committed financing from Bank of America, Goldman Sachs Bank, Barclays, Credit Suisse, Deutsche Bank Securities, UBS Investment Bank, Wells Fargo, and RBC Capital Markets, LLC. The transaction is subject to customary regulatory approvals and other conditions. The transaction is expected to close by the end of 2021.
