Multi-Color Corporation signed a binding sale and purchase agreement to acquire Hexagon Holdings Limited from Mercury Capital and others July 1, 2021. In related transactions, Platinum Equity agreed to sell Multi-Color Corporation to affiliates of Clayton, Dubilier & Rice and in another transaction Clayton, Dubilier & Rice agreed to acquire Fort Dearborn from Advent International. Following the completion of the acquisition, Multi-Color Corporation's enlarged Australasian group will be led by Daren Hudson, Multi-Color Corporation president for Australia and New Zealand.

Hexagon Chief Executive Officer Greg Howell will assist across an agreed transitional period. All Hexagon employees will join Multi-Color Corporation. The transaction need FIRB (in Australia) and OIO (in New Zealand) foreign investment regulatory approvals and is expected to be complete in Q3 of 2021.
