NCB FINANCIAL GROUP LIMITED PROVIDES INSTRUCTIONS FOR ANNUAL GENERAL

MEETING

NCB Financial Group Limited ("NCBFG") will host its Annual General Meeting ("AGM") in a hybrid manner on Friday, February 4, 2022 at 10:30 a.m. All registered shareholders, regardless of geographic location, will have an opportunity to attend and vote on resolutions raised at the AGM electronically.

Registration

Registration will be required in order to attend the AGM. Shareholders and non-shareholders are invited to use the below link to register for the AGM (it works best using Chrome):

Shareholders will require their JCSD Account Number in order to complete registration and to be able to vote on the resolutions raised at the AGM. Should you require assistance in obtaining this account number, you may do any of the following:

1. Contact your stock broker;
2. Review your dividend cheque or payment advice for "Account Number"; or
3. Contact the Registrar Services Unit of the Jamaica Central Securities Depository at [phone] or via e-mail at [e-mail].

Non-shareholders may also attend the meeting if they register as a guest using this same link.

Once registration and verification have been completed, an electronic link and a password will be sent to the same e-mail address that was used for registration. The link and password should not be shared with anyone. Each will work for only one user.

The deadline for registration is February 2, 2022.

Attendance and Participation

• The AGM will commence at 10:30 a.m. on Friday, February 4, 2022.

• The AGM will be streamed live on the NCBFG website atwww.myncb.comas well as the National Commercial Bank Jamaica Limited YouTube page for viewing by all persons worldwide regardless of whether they register on the AGM website.
• Attendees will be muted for the duration of the meeting and will not be allowed to unmute themselves for verbal communication.
• Persons are strongly encouraged to submit any questions related to the audited accounts prior to the AGM by e-mail to [e-mail] that they may be addressed during presentations and/or the course of the meeting. During the AGM, questions may only be submitted through the Question and Answer functionality of the application and we will seek to address as many of them as possible that are relevant to the proceedings, in the designated "Audited Accounts" or "Question & Answer" segment of the meeting agenda.
• Voting by shareholders on all resolutions shown on the Notice of the AGM will be done by electronic means. Only those shareholders who have registered or their proxies will be able to vote on the resolutions. Voting may be done prior to the start of the AGM.
