Nederman Holding AB (publ) (OM:NMAN) signed an agreement to acquire Auburn FilterSense LLC for $8.3 million on March 28, 2018. The consideration, on a cash and debt free basis, includes an upfront payment of approximately $5.75 million with a potential maximum earn-out payment of $2.5 million based on profitability for 2018 and 2019. The transaction is being funded by a combination of cash and existing bank facilities. Upon closing, Auburn FilterSense LLC will be part of Nederman’s Insight organization. The Auburn FilterSense LLC brand and team will continue to operate as before and the solutions will become an integrated part of the Nederman Insight application and digital ecosystem. Auburn FilterSense LLC reported a turnover of $6.2 million in 2017. The transaction is expected to complete in early April 2018 and is expected to have a positive impact on earnings per share from the date of acquisition completion. Mikael Karlsson and Henric Stråth of Moll Wendén Advokatbyrå AB acted as legal advisors to Nederman as part of the transaction.
