NetScientific plc (AIM:NSCI) agreed to acquire EMV Capital Ltd from Futura Messis Group Ltd for £0.34 million on August 4, 2020. As a part of consideration, NetScientific plc will issue 3.521480 million of new ordinary shares representing in aggregate 30.95% share capital of NetScientific's fully diluted share capital to acquire 0.01 million shares of EMV Capital Ltd. NetScientific plc will pay a break fee of £0.0264 million to Futura Messis in case of termination. EMV Capital Ltd reported a profit of £0.163685 million, revenue of £0.570801 million and net assets of £0.116477 million for the year ended December 31, 2019. Following completion of acquisition, it is the intention of the directors and the concert party that operations and headquarters of NetScientific will relocate to the offices of EMV Capital at Level 39, One Canada Square, London E14 5AB. Completion of the transaction is subject to various conditions including approval of shareholders of NetScientific and admission of consideration shares not later than 8.00 a.m. on August 24, 2020. General Meeting of shareholders to approve the transaction is expected to be convened for 10.00 a.m. on August 24, 2020. As on August 24, 2020, shareholders of NetScientific approved the issue of 3.521480 new ordinary shares to Futura Messis as a part of acquisition. Transaction is expected to close on August 25, 2020.
