UPDATE ON THE POSSIBLE TRANSACTION PURSUANT TO

RULE 3.7 OF THE TAKEOVERS CODE

CESSATION OF DISCUSSIONS

This announcement is made by New Focus Auto Tech Holdings Limited (the "Company") pursuant to Rule 3.7 of The Code on Takeovers and Mergers (the "Takeovers Code").

Reference is made to the announcements of the Company dated 15 January 2020, 14 February 2020, 13 March 2020, 14 April 2020, 14 May 2020, 15 June 2020, 15 July 2020 and 14 August 2020 (the "Announcements") in relation to, among others, the Possible Transaction. Unless otherwise defined, capitalised terms used herein have the same meanings as those defined in the Announcements.

CESSATION OF DISCUSSIONS REGARDING THE POSSIBLE DISPOSAL

The Board wishes to update the shareholders and potential investors of the Company that, as informed by the Selling Shareholder, no agreement can be reached between the parties to the MOU on the terms of the Possible Transaction and the discussion relating to the Proposed Disposal has ceased.

For the purpose of the Takeovers Code, the offer period in respect of the Possible Transaction is closed on the date of this announcement.
