Item 8.01.    Other Events.
On December 3, 2020, Newpark Resources, Inc. (the "Company") issued a press
release announcing that the Company received written notification from the New
York Stock Exchange (the "NYSE") confirming that the Company has regained
compliance with the continued listing standard set forth in Section 802.01C of
the NYSE Listed Company Manual. The Company regained compliance under Section
802.01C after its closing share price on November 30, 2020 and its average
closing share price for the 30 trading-day period ending November 30, 2020 both
exceeded $1.00 per share.

incorporated by reference herein.
