About this privacy statement

  1. Group N.V. ('NN Group') is responsible for the processing of your personal data. The address of NN Group is Schenkkade 65, 2595 AS The Hague, the Netherlands. This privacy statement applies to the processing of all personal data of (persons acting on behalf of) shareholders in the context of the (virtual) annual general meeting of NN Group ('AGM').
    The purpose of this privacy statement is to be transparent about how NN Group collects, uses and protects personal data in compliance with applicable data protection legislation, such as the General Data Protection Regulation ('GDPR').
    This privacy statement can be adjusted due to changes in legislation and/or when we change the way we process personal data. This version is dated 7 April 2021.

What personal data do we process?

Personal data is data that tells something about you or that we can connect to you. We can collect and process the following personal data:

  • Name, address, mobile telephone number and email address.
  • Securities account number
  • Registration number of the certificate of deposit
  • Number of shares held
  • Information/data in relation to the (virtual) attendance of the AGM
  • Video Video and/or audio recordings of you during the AGM.

Processing purposes

  1. Group uses your personal data for the following processing purposes:
    To organise the AGM, including the identification/ registration of and communication with shareholders. These are legal obligations. We may also process your personal data to fulfil other legal obligations. The legal basis is article 6 (1) (c) GDPR (fulling a legal obligation).
    To register questions prior to the AGM through an online form on the NN Group website. The legal basis is article 6 (1) (a) of the GDPR (consent).
    To conduct the AGM properly and maintain records in relation to the AGM (including registration of the attendees and the questions asked). The legal basis is article 6 (1) (f) GDPR (legitimate interest).
    To make a video and audio recording (a webcast) of the AGM and to publish this recording on the NN Group website. The legal basis is article 6 (1) (a) of the GDPR (consent).

Access to your personal data within NN Group

Your personal data are only accessible to persons within

  1. Group insofar as this is necessary for the performance of their duties and falls within the scope of organising the AGM.

Processing by third parties

Your personal data will also be processed by (shared with or obtained from) third parties, such as ABN AMRO Bank N.V. (via a shareholder portal), the civil law notary involved, IT suppliers (for the technical infrastructure of the AGM, such as NFGD Zoetermeer B.V.) and other service organisations for the purposes described above and in accordance with applicable law. If these parties qualify as processors,

  1. Group enters into adequate data processing agreements. NN Group does not sell or trade your personal information to or with any third party.
    Furthermore NN Group may be required in some cases to disclose personal data to governmental agencies in accordance with relevant legislation.

How we protect your personal data

Because your privacy is important to us, your personal data will be treated in the strictest confidence. NN Group has also taken appropriate technical and organisational security measures including secure servers, firewalls and encryption, as well as physical protection of areas where data is stored.

Transfer outside the European Economic Area

In principle NN Group does not transfer your personal data to countries outside the European Economic Area. In some cases, NN Group uses the services of parties that have branches or servers abroad. NN Group has concluded special agreements with such parties and where necessary has taken adequate measures to ensure that your personal data are also well protected in these cases.

Retention of personal data

  1. Group keeps your personal data as long as necessary in relation to the AGM and/or for as long as required by law. We will delete your personal data as soon as these are no longer necessary for the purposes mentioned. If you wish to receive an overview of the applicable retention periods, you can send an email toexternal.communications@nn-group.com.

Your rights

As a data subject you have a number of rights with regards to your personal data.

These rights are explained below.

  • Right of access: this means that you can ask which personal data we have registered and how we use it.
  • Right of rectification, erasure and restriction: you have the right to have your personal data changed if it is incorrect. You also have the right to have your personal data deleted if they have been processed unlawfully, are no longer needed for the processing purposes established or because you have withdrawn your consent and NN Group no longer has any other valid reason to process your data. You are also entitled to restrict the processing of your personal data. This right means that you may tell us temporarily not to use your data. You may exercise this right if your personal data is incorrect, unlawfully processed or if you object to the processing of your personal data and your objection is still being handled by us.
  • Right to data portability: this means that in certain cases you have the right to ask us to transfer the personal data that you provided to you and/or another party.
  • Right to object: you may lodge an objection to the processing of your personal data if we use your personal data for purposes other than necessary for performing a contract or necessary for fulfilling a statutory obligation. We will carefully assess your objection and stop processing your personal data, if necessary.
  • Right to withdraw consent: If you have given your consent, you can withdraw it at any given time simply by sending an email to the address mentioned hereunder. The withdrawal of consent shall not affect the lawfulness of the processing based on consent before the withdrawal.
