Publication of supplementary prospectus

On 2 November 2017, Norcros sent to Norcros shareholders a prospectus in relation to the proposed acquisition of Merlyn Industries Limited and associated firm placing and placing and open offer and notice of general meeting (the 'Prospectus').

The Company now announces that a supplementary prospectus (the 'Supplementary Prospectus') is being posted today to Norcros shareholders. The purpose of the Supplementary Prospectus is to provide an update regarding certain financial information in the Prospectus following the publication on 16 November 2017 by Norcros of its interim results for the 6 month period ended 30 September 2017.

The Supplementary Prospectus will be made available on Norcros' website www.norcros.com and will be submitted to the National Storage Mechanism, where it will be available for inspection at www.morningstar.co.uk/uk/NSM. Copies of the Supplementary Prospectus will also be available for inspection during usual business hours on any business day, free of charge, at the offices of Norcros, Ladyfield House, Station Road, Wilmslow, Cheshire, SK9 1BU, from the date of this announcement up to and including the date of the General Meeting.

The details of the Open Offer, including the action to be taken by Norcros shareholders and the timing of the General Meeting, remain as set out in the Prospectus.
