Nordic Unmanned AS (OB:NUMND) entered into an agreement to acquire AirRobot GmbH & Co. KG from Burkhard Wiggerich and Jolante Wiggerich for €5 million on July 12, 2021. The transaction will be settled at closing with 80% in cash and 20% in Nordic Unmanned shares, issued in line with the board's authorization, for a total value of €4.45 million. The shares will serve as escrow for the certain seller’s guarantee obligations for 18 months. The sellers have the option to choose between shares or cash at release of the escrow. An additional €0.5 million in cash is payable if certain performance targets are met. AirRobot had revenues of €2.3 million in 2020 and is expected to take place before end of 2021. As per amended filing, the transaction is expected to close in Q4 2021. Titus Walek, Karsten Kujath, Marian Niestedt and Joachim Mulch of Graf von Westphalen Bappert & Modest acted as legal advisor to Burkhard Wiggerich and Jolante Wiggerich. Upon completion of the transaction, Chief Executive Officer and Chief Financial Officer, Burkhard Wiggerich and Jolante Wiggerich will renounce their posts but will continue to assist the company as required. The transaction is subject to Investment Control Approval from German authorities. As of September 23, 2021, German Federal Ministry of Economy and Energy have approved the transaction. Nordic Unmanned AS (OB:NUMND) completed the acquisition of AirRobot GmbH & Co. KG on October 14, 2021. Nordic Unmanned issued 0.2 million shares as part payment for the total consideration.
