          Appointment of Certain Officers; Compensatory Arrangements of Certain
          Officers.

On July 22, 2022, Ms. Alessandra Daigneault resigned as Chief Corporate Officer, General Counsel and Corporate Secretary of NRx Pharmaceuticals, Inc. (the "Company"), effective immediately. Ms. Daigneault's resignation is not the result of any disagreement with management or the Company's board of directors related to the Company's operations, policies, or practices. Ms. Daigneault is leaving the Company to pursue other personal and professional interests.
