ANNOUNCEMENT MADE PURSUANT TO RULES 13.51B(2)

AND 13.51(2)(K) OF THE LISTING RULES

This announcement is made by NVC International Holdings Limited (the "Company", together with its subsidiaries, the "Group") pursuant to Rules 13.51B(2) and 13.51(2)(k) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the "Listing Rules").

The board of directors of the Company has recently been informed that Mr. Wang Donglei ("Mr. Wang"), the Company's chairman and executive director, has been included in the List of Dishonest Persons published by the Beijing No.2 Intermediate People's Court, as a result of an ongoing debt dispute (the "Incident"). The details of the Incident are set out below.

Mr. Wang is a director and the de facto controller of Elec-Tech International Co., Ltd.*（安 徽德豪潤達電氣股份有限公司）("ETI"), a PRC incorporated company whose shares are currently listed on the Shenzhen Stock Exchange. In a share placing (the "Placing") conducted by ETI in 2017, Mr. Wang and Wuhu Dehao Investment Co., Ltd.* （蕪湖德豪投 資有限公司） ("Wuhu Dehao"), a company controlled by Mr. Wang, jointly provided certain performance guarantees to an investor. The Beijing No.2 Intermediate People's Court entered a judgment against Mr. Wang and Wuhu Dehao in 2018, in which Mr. Wang and Wuhu Dehao were held liable to pay to the investor: (i) an amount totalling RMB517,974,242 pursuant to a performance guarantee, (ii) liquidated damages, and (iii) other costs including attorneys' fees and property preservation fees. On 22 December 2020, the Beijing High People's Court upheld the judgment of the Beijing No.2 Intermediate People's Court. On 29 January 2021,

Mr. Wang was included in the List of Dishonest Persons published by the Beijing No.2

Intermediate People's Court.

Mr. Wang disagrees with the above judgments and the decision made by the Beijing No.2 Intermediate People's Court to include him in the List of Dishonest Persons. Mr. Wang is currently appealing to the Supreme People's Court of the People's Republic of China.

The Company believes that the abovementioned matters have no direct financial impact on the Group, and the Group has no direct involvement in the Placing or the Incident. Mr. Wang has also not provided any financial assistance or guarantee to the Group and the Company does not believe that the abovementioned matters have any material adverse impact on the operations of the Group.
