Item 8.01. Other Events.

On May 10, 2022, Ondas Holdings Inc. (the "Company") issued a press release reporting that its wholly-owned subsidiary, American Robotics, Inc., received a new purchase order from The Scotts MiracleGro Company for its autonomous, FAA-approved Scout Systems, which will provide the company with daily data collection and analytics capabilities. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
