Compensatory Arrangements of Certain Officers

On August 27, 2020, Jay N. Levine tendered his resignation as a director and Chairman of the Board of Directors (the "Board") of OneMain Holdings, Inc. (the "Company"), effective on December 31, 2020. Mr. Levine's resignation was not the result of any dispute or disagreement with the Company or the Company's Board on any matter relating to the operations, policies or practices of the Company.

Mr. Levine is a Class I director of the Company and also serves as a member of the Company's Compliance Committee. On August 28, 2020, the Board elected Douglas H. Shulman to replace Mr. Levine as Chairman of the Board, effective on December 31, 2020.
