(NASDAQ: OTRK) (“Ontrak” or the “Company”) announced today that it has closed its previously announced registered direct offering with institutional investors for the purchase and sale of shares of its common stock at a purchase price of $0.80 per share. The per share purchase price was at-the-market in accordance with Nasdaq rules.

Roth Capital Partners acted as the exclusive placement agent for the offering.

The aggregate gross proceeds to the Company was approximately $4.0 million before deducting placement agent fees and other offering expenses payable by the Company. The Company intends to use the net proceeds from the offering for working capital or to pay down outstanding debt.
