Scrip Dividend Payment

OPG (AIM: OPG), the developer and operator of power genera on plants in India, announced on 1 August 2019 the payment of a scrip dividend of 0.6p per share in respect of FY19 (the "Scrip Dividend).

The Company is pleased to confirm that shareholders will receive one new ordinary share (the "Scrip Shares") for every 30.25 exis ng ordinary shares, based upon the Scrip Dividend price of 18.15 pence per share. Frac onal en tlements will not be paid and the Scrip Dividend to each shareholder will be rounded down to the nearest whole share.

A total of 12,823,311 Scrip Shares will be issued today to shareholders on the register as at 13 December 2019. Applica on has been made for the Scrip Shares to be admi ed to trading on AIM which is expected to occur on 9 January 2020. The Scrip Shares will rank pari passu in all respects with the Company's exis ng ordinary shares of 0.0147p each (the "Ordinary Shares").

Following the issue of the Scrip Shares the Company has 400,733,511 Ordinary Shares in issue. No Ordinary Shares are held in treasury. The figure of 400,733,511 may be used by the Company's shareholders as the denominator in the calcula ons by which they will determine if they are required to no fy their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
