Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On September 11, 2020, the Board of Directors of Oportun Financial Corporation (the "Company") approved a change to the title, but not to the roles and responsibilities, of the Company's General Counsel and Chief Compliance Officer, Joan Aristei. The change was made by the Board of Directors to more closely align with her current role and responsibilities. Effective immediately, Ms. Aristei's title will be General Counsel and Chief Risk Officer. No change was made to the compensatory arrangements with Ms. Aristei in connection with this change in title.
