(Stock Code: 316) RESIGNATION OF INDEPENDENT NON-EXECUTIVE DIRECTOR AND CHANGE OF COMPOSITION OF AUDIT COMMITTEE

The Board of Directors (the "Board") of Orient Overseas (International) Limited (the "Company") announces that Mr. CHANG Tsann Rong Ernest ("Mr. Chang") will resign as an Independent Non-Executive Director of the Company with effect from 31 August 2015 as he wishes to devote more time to his family affairs. He will also cease to be a member of the Audit Committee of the Company with effect from the same date.
Mr. Chang has confirmed that he has no disagreement with the Board and that there is no matter relating to his resignation that needs to be brought to the attention of the shareholders of the Company.
The Board further announces that Mr. CHOW Philip Yiu Wah, an Independent Non-Executive Director of the Company, will be appointed as a member of the Audit Committee of the Company with effect from 31 August 2015.
The Board would like to take this opportunity to express their thanks and appreciation to Mr. Chang for his services and tremendous contributions to the Company and its subsidiaries for more than 46 years. The Board wishes Mr. Chang good health and happiness.
