1. We appoint you to act as a non-executive director of the Company (the "Non-executive Director") subject to the terms and conditions provided below.

2. Your appointment as the Non-executive Director shall commence on 29 September 2015 and end on 28 September 2018 (both days inclusive). The appointment may be terminable at any time by either of us by giving the other party not less than two (2) months' prior notice in writing.

3. Your appointment is subject to the provisions of the Company's articles of association (the "Articles of Association") and the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the "Listing Rules") in force from time to time.

4. Your remuneration is determined by the board of directors of the Company (the "Board") under the authority of the Company's shareholders given in a general meeting. Unless determined otherwise, you shall be entitled to an annual remuneration of RMB 180,000 (or equivalent amount in foreign currency) or a pro-rata amount for any incomplete year. The Company's procedures require you to obtain an authorisation in advance from the Chairman of the Board for any item of expenditure that is to be reasonably incurred by you in the discharge of your duties hereunder.

5. Under Article 86 of the Articles of Association, the office of a director of the Company is liable to be vacated in certain circumstances. Further, under Article 83(5) of the Articles of Association, the shareholders of the Company may remove any director of the Company by an ordinary resolution at a general meeting.

11. You shall devote such of your time, your attention and skill as may reasonably be required to the duties of your position as the Non-executive Director and shall faithfully and diligently perform such functions and exercise such powers as are appropriate to your position as the Non-executive Director. These will include (but not limited to) attending board meetings and general meetings of the Company and meetings of any board committee of which you become a member.

12. In the discharge of your duties and functions as the Non-executive Director, you shall observe and comply with all reasonable directions from, and all laws applicable to and all regulations of, the Company including, without prejudice to the generality of the foregoing, all laws and regulations from time to time in force with respect to confidentiality, dealings in shares and notifications required to be made by a director to the Company and/or any other regulatory body to which the Company is subject. In addition, you shall observe and use your best endeavours to procure that the Company observes the rules and regulations of The Stock Exchange of Hong Kong Limited and the Hong Kong Codes on Takeovers and Mergers and Share Repurchases.
