Item 7.01. Regulation FD Disclosure.

Pebblebrook Hotel Trust (the "Company") issued a press release on June 24, 2022, announcing that on June 23, 2022 it acquired the 257-room Gurney's Newport Resort & Marina, located in Newport, Rhode Island, for $174.0 million, from an unaffiliated third party.

A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is hereby incorporated by reference herein.

Item 8.01. Other Events.

On June 23, 2022, the Company completed its acquisition of the 257-room Gurney's Newport Resort & Marina, located in Newport, Rhode Island, for $174.0 million, from an unaffiliated third party. The Company funded this transaction with available cash on hand and proceeds from its senior unsecured revolving credit facility.
