Zhao Ge entered into the sale and purchase agreement to acquire Founder Data Corporation International Limited from Peking University Resources Company Limited for HKD 1 million.

Zhao Ge entered into the sale and purchase agreement to acquire Founder Data Corporation International Limited from Peking University Resources (Holdings) Company Limited (SEHK:618) for HKD 1 million on October 19, 2022. The consideration will be satisfied in cash on completion. Immediately after completion, Peking University Resources (Holdings) will cease to have any interests in Founder Data Corporation.

For the six months ended September 30, 2022, Founder Data had total assets f HKD 3.35 billion and net assets of HKD -1.20 billion. The transaction is conditional upon fulfillment of due diligence review, all necessary authorizations, consents and approvals required to be obtained in relation to the transaction and approval by the shareholders of Peking University Resources (Holdings). Completion shall take place on the 3rd business day after the date on which the last of the conditions is satisfied or waived.

The net proceeds from the disposal will be used as general working capital. First Capital International Finance Limited acted as financial advisor of Peking University Resources (Holdings). As of December 22, 2022, Peking University Resources shareholders approved the transaction.
