Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.



On August 9, 2021, Pennsylvania Real Estate Investment Trust (the "Trust") and
Joseph F. Coradino, the Trust's Chief Executive Officer, entered into an
amendment (the "Amendment") to the Nonqualified Supplemental Executive
Retirement Agreement, as amended and restated effective January 1, 2012, between
the Trust and Mr. Coradino (the "SERP"). The Amendment memorializes the
termination of the SERP, as referenced in the Amended and Restated Employment
Agreement between the Trust and Mr. Coradino dated May 12, 2021 and the Trust's
Current Report on Form 8-K filed on May 14, 2021.

The Amendment provides that no further contributions will be credited to the
SERP. The portion of the SERP account balance attributable to pre-2005
contributions and related earnings will be paid to Mr. Coradino as soon as
administratively practicable. The portion of the SERP account balance
attributable to post-2004 contributions and related earnings will be paid to
Mr. Coradino in 2022, consistent with the waiting period contemplated by tax
rules that took effect in 2005. In each case, the applicable portion of the
account balance will continue to accrue interest until the payment date at a
rate of five percent per year.
