PepsiCo, Inc. (NasdaqGS:PEP) entered into an agreement to acquire Rockstar, Inc. on March 11, 2020. The consideration includes cash payment of approximately $3.85 billion and contingent consideration related to future tax benefits associated with the acquisition of approximately $0.7 billion. The contingent consideration will be paid over up to 15 years. Russell Weiner is not expected to play a big role under the new ownership. The transaction is subject to customary closing conditions, including regulatory approval. As on April 19, 2020, The Federal Trade Commission has approved the transaction. The transaction is expected to close in the first half of 2020. As on April 19, 2020, the transaction is expected to close in coming days. PepsiCo does not expect the transaction to be material to its revenue or earnings per share in 2020.
