Proposed offering of Guaranteed Senior Unsecured Notes

Perenti (ASX: PRN) announces that its wholly owned subsidiary, Perenti Finance Pty Ltd, proposes to issue, subject to market and other conditions, an aggregate principal amount of US$350 million in Guaranteed Senior Unsecured Notes (Notes). The Notes will only be offered to qualified institutional buyers in the United States pursuant to Rule 144A under the United States Securities Act of 1933, as amended (Securities Act), and to certain persons outside the United States in offshore transactions in reliance on Regulation S under the Securities Act.

If the proposed issue of Notes is successful, Perenti intends to apply the net proceeds towards redemption of all of the outstanding US$350 million 6.625% Senior Secured Notes, due May 2022, issued by wholly owned subsidiary, Barminco Finance Pty Limited, at a redemption price of 101.656% of the principal amount of the notes redeemed plus accrued and unpaid interest up to the redemption date. The Notes will be guaranteed by Perenti and certain wholly owned subsidiaries of Perenti.

Perenti advised in its FY20 full year results announcement in August 2020 that it intends to refinance the Barminco US$350 million Senior Secured Notes during the next 12 months.
