The Company is formed for the purpose of effecting a merger, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses. The Company has not selected any potential business combination target and has initiated any substantive discussions, directly or indirectly, with any potential business combination target. The Company may pursue an initial business combination with any business in any industry and any geographic location. It intends to target opportunities and companies that focus on environmentally sound infrastructure, industrial applications and disruptive technologies that eliminate or mitigate greenhouse gas (GHG) emissions and/or enhance resilience to climate change.
