Disclosure pursuant to Section 111c of the German Stock Corporation Act

PharmaSGP Holding SE: Increase and repayment of loan financing provided by majority shareholder

Graefelfing, August 27, 2021. In order to finance value added tax payments in connection with the closing of the acquisition of a product portfolio of OTC brands from the GlaxoSmithKline Group announced in June 2021, PharmaSGP Holding SE has taken up a further shareholder loan from FUTRUE GmbH with date of August 26, 2021.

FUTRUE GmbH holds a majority participation in PharmaSGP Holding SE and is in turn solely owned by the chairman of the supervisory board of PharmaSGP Holding SE; therefore, the financing is a transaction of the Company with a related party which is subject to disclosure pursuant to Section 111c of the German Stock Corporation Act.

The newly raised shareholder loan is unsecured and has a volume of EUR 12 million. The loan interest rate will be determined based on a benchmark analysis for the applicable market interest rate, which has yet to be carried out. The loan has a minimum term until December 31, 2021 and is then automatically extended once or more times, in each case by a further three-month period, until December 31, 2022 at the latest, unless it is terminated by the lender. However, the Company will repay the loan before the end of the year once the value added tax payments that the loan was taken out to finance are refunded to the Company by the tax authorities.

FUTRUE GmbH had already granted the Company a shareholder loan in the amount of EUR 85 million in June 2021 to finance the acquisition of the afore-mentioned product portfolio. The Company will refinance this shareholder loan through bank financing and repay it in full in the week of August 30, 2021.
