Transfer of Treasury Shares

Phoenix Global Resources plc (AIM: PGR; BCBA: PGR), the upstream oil and gas company offering its investors direct exposure to Argentina's Vaca Muerta shale formation and other unconventional resources, announces that on 18 July 2019 it transferred from treasury 355,999 ordinary shares of 10 pence each ('Shares') to the Phoenix Global Resources Employee Benefit Trust and 22,929 Shares directly to certain participants in the Company's deferred bonus plan ('DBP') to satisfy the vesting of DBP awards on 27 June 2019.

Total Voting Rights

As the result of the above, there are now 1,621,072 Shares held as treasury shares. The Company further advises that, at the date of this announcement the Company's issued share capital comprises 2,785,023,637 Shares (excluding the 1,621,072 Shares held as treasury shares). Therefore, the Company's total number of Shares with voting rights is 2,785,023,637. This figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
