Publication of Supplementary Prospectus

Further to the publication of Phoenix Group Holdings plc's ('Phoenix' or the 'Company') 2019 Annual Report and Accounts on 9 March 2020, Phoenix today announces the publication of a supplementary prospectus approved by the Financial Conduct Authority (the 'Supplementary Prospectus'), which is supplemental to and must be read in conjunction with the prospectus of the Company which was published on 17 January 2020 (the 'Circular and Prospectus').

The Supplementary Prospectus is being published to disclose details of the Company's audited annual results for the year ended 31 December 2019 and is a requirement under the Prospectus Regulation Rules.

The 2019 Annual Report and Accounts is available on Phoenix's website at www.thephoenixgroup.com. The Supplementary Prospectus will be made available on Phoenix's website at www.thephoenixgroup.com and will be submitted to the National Storage Mechanism, where it will be available for inspection atwww.morningstar.co.uk/uk/NSM.
